1. Acceptance of Terms

By accessing, connecting, or using finconsigliere ("fc", "the Service", "we", "us", or "our"), you ("User", "you") agree to be bound by these Terms and Conditions. If you are entering into these terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

finconsigliere ("fc") provides an intelligent financial orchestration, workflow assistance, and business intelligence platform designed to connect with third-party software, including accounting, payroll, and enterprise management tools. fc is not an accounting firm, certified public accountant (CPA), or tax advisory service. The Service is intended solely as an organizational and workflow aid.

3. Third-Party Services & Intuit QuickBooks Integration

• Authorization: When you connect fc to third-party services, including Intuit QuickBooks Online, Zoho or other such services, you explicitly authorize fc to access, retrieve, format, and interact with your financial and operational data in accordance with the permissions you grant.
• Independent Platform: fc is an independent third-party application. fc is not endorsed, sponsored, or certified by Intuit Inc. Your use of QuickBooks, Zoho or other such software remains governed by the respective software's separate terms and policies.
• API Availability: We are not liable for any service interruptions, API changes, data delivery failures, or downtime caused by third-party platforms.

4. User Responsibilities & Human-in-the-Loop

• Verification of Outputs: All financial summaries, reconciliations, draft journal entries, notifications, and insights generated by fc are advisory suggestions. You are solely responsible for reviewing, verifying, and approving all financial entries, tax classifications, and operational records before taking business action or filing statements.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and integration API keys.

5. Intellectual Property & Customer Data

• Your Data: You retain all ownership rights to the financial, employee, and business data you transmit through fc. You grant fc a limited, non-exclusive license to process your data solely to deliver the Service.
• Our Platform: All rights, title, and interest in fc, including algorithms, software, user interfaces, branding, and workflows, remain our exclusive property.

6. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or accuracy of financial calculations. We do not guarantee that the Service will be error-free or uninterrupted.

7. Limitation of Liability

To the maximum extent permitted by law, finconsigliere ("fc") and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, tax penalties, or regulatory fines arising from or related to your use of or inability to use the Service.

8. Termination

You may terminate your connection and account at any time by disconnecting the integration within your settings or inside the third-party software fc connects to. We reserve the right to suspend or terminate access for violations of these Terms.
